Effective upon acceptance
Mosaaik Creator Affiliate Program Agreement
This agreement is between the participating community owner ("Creator") and the person or business joining that Creator's affiliate program ("Affiliate"). Mosaaik is the technology provider. It is separate from the Mosaaik Platform Affiliate Program Terms, where Mosaaik pays 40% for referring creators to the platform.
This is a proposed agreement template. It should be reviewed by qualified legal counsel before launch. The final version should add governing law, dispute resolution, liability, indemnification, privacy, electronic consent, and other jurisdiction-specific terms. The commission settings a Creator publishes are incorporated into this agreement for that community.
1. Purpose
An Affiliate may promote a Creator's community, paid memberships, courses, and eligible products. The Affiliate may earn a commission when a customer makes a qualifying purchase through the Affiliate's referral link. Each Creator runs an independent program and sets its commission structure, within Mosaaik's platform rules. Mosaaik provides tracking, calculation, reporting, and payout records. The Creator is responsible for the commissions owed.
2. Eligibility and enrollment
An Affiliate needs an eligible Mosaaik account, must meet the Creator's stated requirements, accept this agreement and the published program settings, give accurate account and payment information when required, and follow applicable law and Mosaaik policies. A Creator may let eligible members activate a link after acceptance or require an application. Joining one community does not enroll the Affiliate in another. An Affiliate may join more than one community program. A paid Mosaaik community subscription is not required to participate as an Affiliate.
3. Eligible products
A Creator may offer commissions on paid memberships, paid courses, eligible store products, and other offerings the Creator expressly marks as commissionable. Individual courses, tiers, and products can be turned on or off. A free membership, a free course, or any other transaction with no qualifying payment does not generate a monetary commission unless a separate reward program says so.
4. Commission structure
The Creator chooses the rate. A percentage commission is a share of the eligible amount paid. A $100 course at 20% pays the Affiliate $20. A fixed commission is a set amount per qualifying purchase. For memberships, the Creator may pay the first qualifying payment only, every qualifying recurring payment, or a stated number of successful billing cycles. The rate, structure, and duration must be shown before the Affiliate joins or promotes. The base is the eligible amount actually paid, excluding taxes, refunded amounts, and other non-commissionable charges. Mosaaik's transaction fee is separate and is not reduced to fund the commission.
5. Referral links
An eligible Affiliate receives unique links to the community, a membership checkout, a course sales page, or an eligible product page. Attribution requires the authorized link. Links may not be altered deceptively or used to misrepresent the offering.
6. Referral attribution
Unless the Creator's published settings say otherwise, Mosaaik uses a 30-day window and last-eligible-click attribution. A referral is eligible when the customer completes a qualifying transaction inside that window and meets the program rules. Only one Affiliate is attributed to the same qualifying purchase. Attribution does not by itself guarantee a commission. Extra eligibility rules are allowed when they are disclosed and consistent with Mosaaik's policies.
7. Commission eligibility
A commission is created only when the Affiliate is eligible, the referral is attributed, the purchase qualifies under the published settings, the customer's payment succeeds, and the transaction is not disqualified by fraud, a refund, a chargeback, or another stated exclusion. No commission is earned on a failed or unpaid transaction, an ineligible self-referral, a duplicate or fraudulent purchase, a free transaction, a purchase outside the window, or a transaction the disclosed terms exclude. An Affiliate does not earn on their own purchase. Community owners and administrators do not earn commissions for referrals into communities they own or administer unless Mosaaik establishes an express exception.
8. Recurring membership commissions
Recurring commissions follow the terms captured for the original referral. A 20% commission on a $50 monthly membership pays $10 for each qualifying $50 payment. Recurring commissions stop when qualifying payments stop, the disclosed duration ends, the payment is refunded or disqualified, or another condition in the original agreement applies. Access that simply runs to the end of a period already paid does not create another commission. If a referred membership is reactivated, eligibility follows the original referral terms and the program rules.
9. Commission changes
A Creator may change rates and settings for future referrals. Commissions already earned are not reduced after the fact. An existing recurring referral keeps the terms that were in effect when it was established. Future rate changes are disclosed, material changes are communicated to affected Affiliates, and the change is recorded. A Creator may not change a past rate to avoid paying an Affiliate.
10. Refunds, chargebacks, and disputes
A full refund reverses the related commission. A partial refund adjusts it in proportion to the refunded commissionable amount. A dispute or chargeback may suspend or reverse the commission. If the commission was already paid, the Creator may recover the adjustment from future earnings where the law and the disclosed terms allow it. Mosaaik can show the adjustment in the dashboard. A refund or dispute does not by itself end the Affiliate's participation.
11. Holding period
Commissions start as pending. Unless the Creator discloses a different hold, 30 days run after the qualifying payment is collected. During the hold, the commission may be reviewed for refunds, chargebacks, fraud, or eligibility. It then becomes payable. It can stay on hold longer while the underlying transaction is in an active dispute or investigation.
12. Payouts
The Creator pays commissions earned in their program. Mosaaik tracks them and stores payout records. Mosaaik does not automatically fund or send those payments. Before Affiliates promote, the Creator discloses the payout method, frequency, any minimum, and any required verification. The recommended operating schedule is monthly, after the holding period. A Creator may set a minimum, such as $25, if that minimum is shown before an Affiliate joins. Where automated payouts are not available, the Creator pays externally and records the payment in Mosaaik. Payable does not mean paid. A payout may be marked paid only after the Creator confirms the payment was completed. Affiliates can review balances and recorded history in Mosaaik.
13. Creator responsibilities
The Creator sets clear rates and conditions, honors eligible agreements, pays commissions when the published payout policy says they are due, avoids misleading offers, keeps accurate payout records, follows applicable tax, advertising, consumer protection, and payment laws, reviews disputes in good faith, and keeps enough funds to meet affiliate obligations. The affiliate system may not be used to avoid a legitimate payment obligation. Mosaaik may restrict affiliate functionality for a material platform-policy violation.
14. Affiliate responsibilities
Affiliates promote honestly. Prohibited conduct includes:
- False or misleading advertising, or misrepresenting a Creator's products.
- Unauthorized use of trademarks or copyrighted materials.
- Spam or unlawful unsolicited marketing.
- Fake accounts or purchases, self-referrals, or manipulating tracking.
- Using stolen payment information, or impersonating Mosaaik or a Creator.
- Unauthorized income guarantees, or hiding material information from customers.
Where the law requires it, the Affiliate discloses the commission relationship. For example: "I may earn a commission if you purchase through my referral link." The Affiliate is responsible for the accuracy and legality of their promotions.
15. Suspension and termination
A Creator may suspend or end an Affiliate's participation for fraud or suspected abuse, misleading promotions, a violation of this agreement or the law, or a material violation of the published program rules. A Creator may also close the program going forward. Ending participation does not erase commissions legitimately earned before that date. Recurring obligations already established follow those referral terms. Commissions on fraudulent or ineligible transactions may be withheld or reversed. Mosaaik may independently restrict affiliate functionality to enforce platform policies.
16. Thought Leader downgrades
A community affiliate program is available on a qualifying Thought Leader community. If that community moves to the Creator plan, new enrollment, new attribution, and new commissions stop after Thought Leader eligibility ends, subject to agreements already established and applicable law. Historical records remain available. Unpaid commissions already earned stay the Creator's responsibility. Existing recurring agreements are honored unless their original terms say otherwise. A downgrade does not cancel outstanding liabilities. Mosaaik may leave payout and commission history available so the Creator can settle them.
17. Multiple programs
An Affiliate may join more than one Creator program. Each program is independent. Rates, attribution, and who pays can differ. A commission in one community is not moved to another. Joining a Creator program does not enroll the Affiliate in Mosaaik's Platform Affiliate Program.
18. Ownership transfers
If a Creator transfers a community, outstanding affiliate obligations are part of that transfer. Commissions earned before the transfer remain the original Creator's responsibility unless the Affiliate and the applicable parties agree to a legally valid transfer of those obligations. The new owner discloses whether the program continues and which terms apply to future referrals. A transfer does not erase historical commissions or payout records. Existing recurring agreements are handled under their terms and applicable law.
19. Commission disputes
An Affiliate who believes a commission was calculated incorrectly, rejected, or marked paid should contact the Creator first. The Creator reviews a reasonable dispute and explains the calculation or adjustment. Mosaaik may provide transaction, attribution, and commission records where appropriate and legally permitted. Mosaaik is not automatically responsible for paying or deciding a debt between a Creator and an Affiliate. Mosaaik may investigate platform misuse and enforce its own policies.
20. Role of Mosaaik
Mosaaik provides the technology for registration, referral links, attribution, calculations, dashboards, reporting, payout records, and program administration. Unless Mosaaik agrees otherwise in writing, the Creator pays the commissions. Mosaaik does not guarantee a Creator's earnings, finances, or payment practices, and does not guarantee that an Affiliate will earn commissions or that a referred customer will buy. Nothing here makes an Affiliate an employee, partner, or agent of Mosaaik.
21. Taxes and legal compliance
Affiliates report and pay taxes on their earnings. Creators handle the tax reporting, withholding, and payment duties for commissions they pay, unless an authorized payment service expressly takes on a particular duty. Everyone follows applicable advertising, privacy, anti-spam, consumer protection, and tax laws. Mosaaik may request information needed to meet a legal requirement.
22. No guaranteed earnings
Participation does not guarantee income. Earnings depend on qualifying referrals, completed purchases, rates, refunds, retention, and the Creator's terms. Neither Mosaaik nor the Creator guarantees a specific earnings level unless a separate enforceable agreement says so.
23. Acceptance
By joining, the Affiliate accepts this agreement, the Creator's published rates, the Creator's payout policy, and any other disclosed program terms. Before a Creator turns a program on, the Creator accepts responsibility for paying qualifying commissions and for following these rules. Mosaaik records the agreement version, the time of acceptance, the community, the account, and the commission settings in effect at enrollment.
